**Certificate of Insurance: The insurance copy needs to be sent by your Insurance Agent and they should email it to coi@hireapro.pro. Also, please add in the insurance copy - our company's full name and address under the "Certificate Holder" as -

Also "Hire A Pro Construction Corp needs to be included as an Additional Insured under the "Description of Operations".

**Payment Options: We can set up a "Stripe" (Payment Gateway) account for you which is an inbuilt payment system on our CRM Portal.

Below are the steps to register on Stripe:

  • Please login to hireapro.us
  • Select/Choose Forgot Password to create your own 'password'
  • Click on Payment Information
  • Fill in the information
  • Click on Update button
  • Fill up the form that opens up and click Submit

Once all these information are accurately updated, your account will be verified in 30 mins. We can then start processing your payments either through Stripe or other payment options such as credit card, PayPal, Square, Joist, or any other payment links. (Currently we do not process payment through Venmo, CashApp, Zelle, etc)

TOS of this Basic Agreement


I. RECITALS

  1. WHEREAS, HIRE A PRO CONSTRUCTION CORP (“Hire A Pro”) provides services to clients managing residential properties on behalf of their respective owners (“Owners”);
  2. WHEREAS, Hire A Pro seeks to engage the Sub-Contractor as an independent contractor to deliver services (collectively referred to as “Services”) defined in the Statement of Work (“SOW”) for specific residential properties (“Properties”), under the terms and conditions set forth herein; and
  3. WHEREAS, Sub-Contractor agrees to provide the Services for the Properties under this Agreement and has confirmed acceptance by electronically submitting the Agreement and selecting the “Agree” button.

II. AGREEMENT

NOW THEREFORE, in consideration of the above recitals and the mutual promises contained herein, the Parties agree as follows:


1. Engagement

1.1. Independent Contractor Role: Hire A Pro hereby engages Sub-Contractor as an independent contractor. Sub-Contractor accepts this engagement to perform the Services for the Properties in alignment with the SOW and this Agreement.

1.2. Appointment Commitment and Trip Fees:

  • Sub-Contractor shall maintain all scheduled appointments.
  • In cases where a resident (tenant, homeowner, or occupant) fails to cancel or reschedule an appointment at least 2 hours before the scheduled time, Sub-Contractor will be entitled to a $49 trip fee, provided they submit valid proof of the visit, such as a video or photo showing the Sub-Contractor knocking on the door and evidence of a no-show.

1.3. Missed Appointments by Sub-Contractor:

  • If Sub-Contractor fails to cancel or reschedule an appointment at least 3 hours prior to the scheduled time, they agree to pay Hire A Pro a $49 missed trip fee.
  • This fee will be deducted from future work order payments, the final invoice, or through an issued invoice from Hire A Pro.

1.4. Compliance:

  • Sub-Contractor must adhere to Hire A Pro’s Terms of Service (“TOS”). Non-compliance may result in immediate payment of outstanding amounts, suspension of work, or termination of the Agreement.
  • Any disputes shall be resolved under the jurisdiction of Ventura County, California.

2. Scope of Work

2.1. Services Definition and Changes:

  • Sub-Contractor shall perform all labor, supply necessary materials, and complete Services as outlined in the SOW.
  • Changes to the SOW must be agreed upon in writing by both parties.

2.2. Compliance with Laws and Standards:

  • Sub-Contractor shall comply with all applicable federal, state, and local laws, ordinances, and industry guidelines, including building codes.
  • Sub-Contractor must ensure any work requiring specialized training or licensing is performed by individuals with appropriate certifications, which must be current at the time of Service execution.

2.3. Safety and Policies:

  • Sub-Contractor shall follow Hire A Pro’s safety and worksite policies at all times.

3. Performance of Services

3.1. Preparation and Bid Approvals:

  • Sub-Contractor shall clarify any questions about the SOW or scope prior to arriving at the site. They must ensure all required materials are available to complete the work within the designated time frame.

3.2. Cost Limitation (Not to Exceed):

  • Sub-Contractor shall not exceed the cost specified in the work order unless approved in writing by Hire A Pro.

3.3. Communication Protocols:

  • Sub-Contractor shall limit communication with tenants to essential matters and refrain from commenting on other trades or making recommendations directly to tenants. Any recommendations or concerns must be communicated to Hire A Pro.

3.4. Appointment Adherence:

  • Sub-Contractor must honor scheduled appointments or provide qualified backup technicians. Failure to show up for an appointment without prior approval will result in a $49 recall fee and potential reduction in future assignments.

4. Terms and Conditions

4.1. Completion and Billing:

  • Services are deemed complete upon submission of photographic verification and approval by the tenant or homeowner.
  • Payment shall be made via credit card to the Vendor after 30 days upon invoice approval, unless otherwise arranged. All payments are made weekly on Fridays, based on a net 30-day aging schedule.

4.2. Warranties:

  • Sub-Contractor warrants all workmanship, parts, and labor for 90 days, unless otherwise agreed.

4.3. Insurance Requirements:

  • Sub-Contractor must provide proof of liability and workers’ compensation insurance prior to starting work.
  • Failure to provide this documentation will result in a 20% deduction from the invoice payment.

4.4. Confidentiality:

  • Sub-Contractor shall not disclose any proprietary information about Hire A Pro, its clients, or tenants, including financial details.
  • Any breach of confidentiality may result in liquidated damages up to 10 times the total contract amount.

4.5. Indemnification:

  • Sub-Contractor agrees to indemnify Hire A Pro against all claims, liabilities, or expenses resulting from their work, except in cases of negligence by Hire A Pro.

4.6. Inspection Rights:

  • Hire A Pro reserves the right to inspect and certify completed work. Sub-Contractor shall bear the cost of any additional inspections or certifications.

5. Default and Remedies

5.1. Default:

  • Failure to fulfill any contractual obligation, including timely performance, shall constitute a default.

5.2. Remedies:

  • In the event of default, the non-breaching party may terminate the Agreement and seek damages, including liquidated damages up to 10 times the contract value.

6. Governing Law and Entire Agreement

6.1. Governing Law:

  • This Agreement shall be governed by the laws of California.

6.2. Entire Agreement:

  • This document constitutes the entire agreement and supersedes all prior agreements. Any amendments must be in writing and signed by both parties.

7. Miscellaneous

7.1. Severability:

  • If any provision is deemed invalid, the remaining provisions shall remain enforceable.

7.2. Assignment:

  • Neither party may assign this Agreement without prior written consent.

7.3. Notice:

  • Notices shall be delivered in person, via email, or certified mail.

7.4. Non-Disclosure Agreement (NDA):

  • Sub-Contractor agrees to communicate only with Hire A Pro about financial or contractual matters. Any breach of this NDA will result in significant penalties as defined herein.

This TOS ensures clarity, professionalism, and ease of understanding while retaining the original intent and legal integrity of the agreement based upon our Clients contracts with Hire A Pro Construction Corp and its assigned vendors and employees.
